Terms of Service
These Terms of Service ("Terms") are a legal agreement between you and PTT NZ Limited ("PTT NZ", "we", "us" or "our") governing your use of our customer web portal at portal.pttnz.net and our companion mobile applications for iOS and Android (together, the "Services"). By creating an account, or by downloading, installing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services. See also our Privacy Policy, which is incorporated into these Terms by reference.
1. Acceptance of these terms
You must be at least 18 years old, or the age of majority in your jurisdiction, and have the legal capacity to enter into a contract, to create an account. If you are using the Services on behalf of a business, you confirm you have authority to bind that business to these Terms, and "you" refers to that business as well as you personally.
2. Description of the Services
PTT NZ provides mobile SIM and eSIM connectivity (on New Zealand and international roaming networks), worldwide Travel Data Packs, Push-to-Talk (PTT) radio device management (voice, video, GPS location and optional recording), Android device management (MDM), and related billing, support and reporting tools. Features available to you depend on your account type (customer, reseller, or reseller staff) and the plan or add-ons purchased.
3. Eligibility and your account
- You must provide accurate, current registration and billing information and keep it up to date.
- You are responsible for maintaining the confidentiality of your login credentials and for all activity on your account, including activity by users you add under it.
- Notify us immediately at [email protected] if you suspect unauthorised access to your account.
- We may offer optional two-factor authentication — we strongly recommend enabling it.
4. Identity verification and sanctions compliance (KYC)
Telecommunications services are subject to "Know Your Customer" (KYC), anti-fraud and sanctions-screening expectations in many jurisdictions, particularly where a SIM, eSIM or device is provided for use outside New Zealand. These requirements are in addition to the "Eligibility and your account" section above.
- Identity and business verification. We may require you to provide, and keep up to date, verified proof of identity (for individuals) or business registration/ownership details (for companies, resellers and other organisations) before we accept an order, activate a SIM or eSIM, or continue providing the Services. This may include government-issued identification, proof of business registration, or evidence of your intended use of the Services.
- Overseas SIM registration laws. Many countries require a mobile subscriber's identity to be registered and verified, including for SIMs used only while roaming. Where the Services are to be used in, or a SIM/eSIM is shipped to, a jurisdiction with such requirements, you must provide any information we reasonably request to comply with that jurisdiction's law, and we may suspend or decline to activate a SIM or eSIM until that information is provided.
- Sanctions compliance. We will not knowingly provide the Services to any person, entity, or jurisdiction that is subject to applicable trade or economic sanctions administered by New Zealand (including under the Russia Sanctions Act 2022 and the United Nations Sanctions (Various Countries) Regulations), the United Nations, or another jurisdiction whose sanctions apply to us. You warrant that you are not, and are not acting on behalf of, a sanctioned person or entity, and must notify us immediately if this changes.
- Resellers remain responsible for their own customers. If you are a reseller or business customer, you remain separately responsible for your own compliance with KYC, anti-money-laundering, counter-terrorism-financing and sanctions laws that apply to your own business and your own customers. These Terms do not make PTT NZ responsible for verifying your end customers on your behalf unless we have separately agreed to do so in writing.
- Refusal and suspension. We may refuse, delay, suspend or cancel an order, registration, SIM/eSIM activation, or account where verification required under this section is not provided, cannot be confirmed, or indicates a breach of this section — in addition to our other rights under "Suspension and termination" below.
5. Fees, billing and auto-renewal
Fees for SIM/eSIM plans, Data Pools, Travel Data Packs, PTT features and devices are shown to you before purchase and are charged in New Zealand Dollars unless stated otherwise. Payments are processed by our third-party payment processor, Stripe — purchases are for real-world telecommunications connectivity and services consumed outside the app, and are not processed through Apple's or Google's in-app purchase systems. Plans with auto-renewal enabled will automatically renew at the then-current price at the end of each billing period unless you cancel before renewal, from your account settings or by contacting us. Unless otherwise stated for a specific product, fees are non-refundable once the service period has started or usage has occurred, except as required by the New Zealand Consumer Guarantees Act 1993 or other applicable law.
6. Travel Data Packs (PAYG)
A Travel Data Pack is a prepaid, pay-as-you-go data allowance for a specific country/zone and number of days, purchased through the mobile app. Once the purchased data allowance is fully used, or the purchased number of days has elapsed (whichever happens first), data on that SIM will be fully blocked until you purchase a top-up (for an unused-days pack) or a new pack. Data only works within the zone associated with the country you purchased for — using data in a different zone is not covered by that pack and may be blocked. Travel Data Pack fees are non-refundable once purchased.
7. SIMs, eSIMs and devices
Physical SIM cards and Push-to-Talk devices supplied by us may remain our property or that of our network partners, depending on your plan — check your order/plan terms. You are responsible for the security of your SIM/eSIM, PIN and any devices while they are in your possession, and for reporting loss, theft or damage promptly so we can suspend the service. eSIM profiles are single-use and non-transferable between devices once installed.
Emergency calling. Not all SIM/eSIM plans support voice calling, and emergency calling (e.g. 111 in New Zealand, or the local equivalent overseas) may not be available, or may not reliably identify your location, on data-only, IoT or some international roaming SIMs/eSIMs. Check your specific plan before relying on it for emergency calls, and always have an alternative way to contact emergency services available.
Deactivated SIMs/eSIMs. A SIM or eSIM that is deactivated, cancelled or returned may later be reassigned, reused or recycled to a different customer. Once deactivated, you must not attempt to reactivate or continue using that SIM/eSIM without our authorisation — doing so is a breach of these Terms. Where we reassign a SIM/eSIM to a new customer, we do not carry over the previous customer's usage, location or communications history to the new assignee's account.
8. Push-to-Talk, location and recording
If your account or organisation enables Push-to-Talk voice, video, GPS location tracking or call recording features, you consent to PTT NZ and our Push-to-Talk platform provider collecting and processing that voice, video, location and/or recording data as described in our Privacy Policy. If you are an account administrator enabling these features for other users (e.g. employees or fleet drivers), you are responsible for obtaining any consent required from those users under applicable law before enabling location tracking, video, or recording for their devices.
9. Acceptable use
You must not use the Services to:
- Violate any law, or the rights of any third party;
- Transmit unlawful, defamatory, harassing or fraudulent content;
- Attempt to gain unauthorised access to our systems, other accounts, or the underlying carrier networks;
- Resell, tether or bulk-provision connectivity outside the terms of your plan or reseller agreement with us;
- Interfere with or disrupt the integrity or performance of the Services or connected networks;
- Breach any applicable export control, customs or trade-sanctions laws when using the Services.
To protect network integrity and detect fraud or abuse, we and our underlying network and roaming partners may monitor traffic, session metadata, data usage patterns and account activity. By using the Services you acknowledge that this monitoring may occur.
We may suspend or terminate access for any breach of this section, and for a breach of the "Competitors and verification of accounts" restrictions below.
10. Competitors and verification of accounts
PTT NZ invests significant time and cost in our pricing, products, systems and commercial relationships. The following restrictions protect that investment, in addition to the "Acceptable use" section above.
- No Competitor access without a separate written agreement. You must not register for, place an order through, or otherwise access or use the Services if you are a Competitor (as defined below), or are acting for, on behalf of, at the direction of, or otherwise in support of a Competitor, for the purpose of accessing our Services, products, pricing, or other confidential business information — unless PTT NZ and that Competitor have first entered into a separate, written supply agreement that expressly authorises that specific access. We are not obliged to offer or agree to any such written agreement.
- "Competitor" means any person or entity that provides, resells, or is actively developing products or services that compete with the Services — including mobile SIM/eSIM connectivity, Push-to-Talk device management, IoT/device connectivity, or related telecommunications reselling or fleet-management services — whether acting directly, or through an employee, contractor, affiliate, reseller or other agent acting on its behalf.
- Accurate registration required. You must register for an account and place orders using your own true identity, a genuine contact email address you control, and accurate business details. You must not use a false, borrowed, or disguised identity or email address, or otherwise misrepresent who you are or who you are acting for, in order to obtain access to the Services, place an order, or circumvent this section.
- Verification, refusal and cancellation. We may, at our sole discretion and with or without prior notice, request evidence verifying your identity, your business, or the purpose of an order, and may refuse, delay, suspend or cancel any registration, order or account where we reasonably believe it breaches this section — including where we reasonably believe an account was created, or an order placed, by or for a Competitor, or using false or misleading information. Any refund of amounts paid for an order cancelled under this section is at our discretion, having regard to the circumstances of the breach and any cost we have already incurred, and is in addition to (not instead of) our other rights under "Suspension and termination" below.
11. Network availability and third parties
Connectivity depends on third-party mobile network operators and international roaming partners outside our direct control. We do not guarantee uninterrupted, error-free or continuous network availability, coverage or speed, including in remote or international locations. Data transfer rates and network performance are not fixed, dedicated or guaranteed, and depend on factors outside our control such as your device, location, local congestion, and the policies of the network you are connected to (including a partner network's own protections against overuse). Network outages, maintenance, or a partner carrier's own policies may affect service availability from time to time.
12. Intellectual property
The Services, including all software, branding, and content we provide (excluding your own data), are owned by PTT NZ or our licensors and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Services for their intended purpose while your account is active. You may not copy, modify, reverse-engineer, or create derivative works from the Services except as permitted by law.
13. Disclaimer of warranties
To the maximum extent permitted by law, the Services are provided "as is" and "as available" without warranties of any kind, express or implied, including fitness for a particular purpose or non-infringement. Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy that cannot lawfully be excluded, including under the New Zealand Consumer Guarantees Act 1993 or Fair Trading Act 1986.
14. Limitation of liability
To the maximum extent permitted by law, and except for liability that cannot lawfully be limited or excluded, PTT NZ's total aggregate liability arising out of or in connection with the Services is limited to the amount you paid us in the 12 months before the event giving rise to the claim, and we are not liable for indirect, incidental, special or consequential loss, or loss of profits, data or business, even if we were advised of the possibility of such loss.
15. Indemnity
You agree to indemnify and hold PTT NZ harmless from any claim, loss or damage (including reasonable legal costs) arising from your breach of these Terms, misuse of the Services, or violation of any law or third-party right, except to the extent caused by our own negligence or wilful misconduct.
16. Suspension and termination
We may suspend or terminate your access to the Services, with or without notice, for non-payment, suspected fraud or abuse, breach of these Terms (including the "Identity verification and sanctions compliance" and "Competitors and verification of accounts" sections above), or if required by a network partner or law. You may close your account at any time — see the "Deleting your account and data" section of our Privacy Policy. Termination does not entitle you to a refund of fees already paid for completed service periods, except as required by law.
17. Apple App Store and Google Play terms
If you downloaded our app from the Apple App Store, this agreement is between you and PTT NZ only, not Apple, and Apple has no obligation to furnish maintenance or support for the app. PTT NZ, not Apple, is solely responsible for the app and its content, and for addressing any claims relating to it (including product liability, legal or regulatory compliance, and consumer protection claims). In the event of a failure of the app to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) to you; to the maximum extent permitted by law, Apple has no other warranty obligation for the app. You must comply with all applicable third-party terms (e.g. your mobile network data agreement) when using the app. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
If you downloaded our app from Google Play, your use is also subject to Google Play's Terms of Service.
Purchases of SIM plans, Travel Data Packs and PTT features are for real-world telecommunications services consumed outside the app and are billed by PTT NZ directly via our payment processor, not through Apple's or Google's in-app purchase systems.
18. Governing law and disputes
These Terms are governed by the laws of New Zealand, without regard to conflict-of-law principles. You agree to submit to the exclusive jurisdiction of the courts of Christchurch, New Zealand, for any dispute arising out of or relating to these Terms or the Services, except where a mandatory consumer protection law in your country of residence requires otherwise.
19. Changes to these terms
We may update these Terms from time to time. We will update the "Last updated" date above and, for material changes, notify account holders by email or an in-app notice. Continued use of the Services after a change takes effect constitutes acceptance of the updated Terms.
